| BorgWarner Inc. said it was notified of an unsolicited mini-tender offer by TRC Capital Corporation of Toronto, Canada, to purchase up to 2.5 million shares of BorgWarner's common stock, which represents approximately 2.16 percent of BorgWarner's outstanding shares.
